Terms of Service

1. About yuzu
ORDER YUZU LTD, trading as yuzu (“yuzu”, “we”, “us” or “our”), operates orderyuzu.com, a B2B marketplace that enables superyacht crew and procurement professionals (“Buyers”) to discover, request quotes from, and place orders with vetted marine suppliers (“Sellers”). A Seller may operate as a “Merchant” that maintains a catalogue buyers can browse, or as a “Provisioner” that sources goods to order from a list you send; in these Terms, “Seller” means either. By creating an account or using the platform you agree to these Terms.
ORDER YUZU LTD is registered in England and Wales (company number 15051969) and its registered office is at 6 Fleet Street, Brighton, BN1 4GS.
2. Our role
yuzu is a marketplace that connects Buyers with Sellers. We are not the seller, manufacturer, importer, supplier, or distributor of any goods, and we do not take title to, store, handle, inspect, or deliver them.
- Every order is fulfilled solely by the Seller. The contract of sale is between the Buyer and the Seller.
- yuzu is not a party to that contract and is not responsible for the goods, their quality, safety, legality, labelling, or delivery, or for any act or omission of a Seller.
- We do not inspect, test, certify, or guarantee any Seller’s goods, and we make no representation about their fitness, accuracy, or compliance with any law applicable at the destination port.
- Any rating, vetting, or approval of a Seller by yuzu is for general platform-quality purposes only and is not a warranty of any Seller or its goods.
3. Eligibility
You must be at least 18 years old and have the legal authority to bind your vessel or organisation to these Terms. yuzu is a professional B2B platform and is not intended for personal consumer use.
4. Accounts
- You are responsible for keeping your login credentials confidential.
- You must provide accurate information when registering and keep it up to date.
- You may not share your account or allow others to access it on your behalf.
- Notify us immediately at legal@orderyuzu.com if you suspect unauthorised access.
- We reserve the right to suspend or terminate accounts that violate these Terms.
5. Orders and quotes
yuzu facilitates the quoting and ordering process between Buyers and Sellers. The following apply:
- Submitting a quote request does not constitute a binding order. An order is confirmed only when a Buyer explicitly accepts a quote.
- Prices, availability, and lead times are set by Sellers and may change. yuzu does not guarantee any quoted price or delivery schedule.
- Once accepted, an order creates a binding agreement between the Buyer and the Seller. yuzu acts as the platform facilitating that agreement, not as a party to it.
- Buyers are responsible for verifying that all order details (quantities, specifications, delivery port, vessel name) are correct before accepting a quote.
- Cancellations and amendments after acceptance are subject to the individual Seller’s policy.
6. Payments
- Payments are processed via Stripe or by bank transfer as agreed between Buyer and Seller.
- Payment terms. Where a Seller offers post-payment (payment after delivery), the invoice is due within that Seller’s stated payment-terms period — by default 15 days from delivery. The applicable period is shown on your order. If payment is not received by the due date, yuzu will send automated reminders to you and the Seller until the invoice is settled.
- yuzu charges a platform fee (currently 3%, subject to change with 30 days’ notice) on each completed order. This fee is included in the quoted price and paid by the Seller.
- Credit notes may be issued by Sellers to resolve delivery issues. Credit notes are redeemable against future orders with the same Seller on the yuzu platform and have no cash value.
- All prices on the platform are exclusive of VAT/sales tax unless stated otherwise. Applicable taxes are the responsibility of the Seller and the Buyer in accordance with their respective jurisdictions.
7. Delivery and issues
- Sellers are solely responsible for the quality, accuracy, and timely delivery of goods.
- If goods are missing, incorrect, or damaged, you should raise an issue report within 48 hours of delivery using the platform’s issue reporting tool.
- yuzu may facilitate resolution between Buyer and Seller but is not liable for any loss arising from a Seller’s failure to deliver.
8. Acceptable use
You agree not to:
- Use the platform for any unlawful purpose or in violation of any regulations.
- Attempt to circumvent the platform by transacting directly with Sellers you discovered through yuzu during the period of your active account and for 12 months thereafter.
- Scrape, copy, or systematically extract data from the platform without our written consent.
- Upload malicious code, interfere with the platform’s infrastructure, or attempt to gain unauthorised access.
- Impersonate any person or entity or misrepresent your affiliation with a vessel or organisation.
9. Intellectual property
All platform software, design, trademarks, and content produced by yuzu remain our exclusive property. You are granted a limited, non-exclusive, non-transferable licence to access and use the platform for its intended business purpose only. You may not reproduce, modify, or distribute any part of the platform without our written consent.
10. Limitation of liability
To the maximum extent permitted by applicable law:
- yuzu provides the platform “as is” without warranties of any kind, express or implied.
- We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, revenue, or data.
- Our total aggregate liability to you for any claim arising from your use of the platform shall not exceed the total platform fees paid by or attributable to your vessel in the 3 months preceding the claim.
- Nothing in these Terms limits liability for fraud, gross negligence, or death or personal injury caused by our negligence.
11. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless yuzu and its officers, employees, and agents from and against any claim, demand, loss, liability, cost, or expense (including reasonable legal fees) arising out of or connected with:
- your use of the platform;
- your breach of these Terms;
- any order you accept, or any dealings between you and a Seller; or
- your violation of any law or regulation, or of the rights of any third party.
This obligation survives termination of your account.
12. Termination
You may delete your account at any time from the Account settings page. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if we discontinue the platform. Upon termination, your right to access the platform ceases. Sections 9, 10, 11, 14, and 15 survive termination.
13. Privacy
Your use of the platform is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data and is incorporated into these Terms by reference.
14. General
- Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and yuzu regarding the platform and supersede any prior understanding.
- Assignment. We may assign, transfer, or novate our rights and obligations under these Terms to another entity — for example on a sale, merger, or reorganisation of our business — without your consent. You may not assign or transfer yours without our prior written consent.
- Severability. If any provision of these Terms is held invalid or unenforceable, it shall be severed and the remaining provisions continue in full force.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Third-party rights. Except as expressly stated, no person other than you and yuzu has any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.
- Force majeure. Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including extreme weather, port closures, strikes, war, sanctions, supply-chain disruption, or failures of utilities, networks, or third-party services.
- Notices. We may give you notice by email to the address on your account or by posting on the platform; you can reach us using the details in the Contact section.
15. Governing law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer protection laws in your jurisdiction require otherwise.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email at least 14 days before they take effect. Continued use of the platform after that date constitutes acceptance of the revised Terms.
